POSITION SUMMARY:
The Legal Counsel & Compliance Advisor serves as the primary legal and compliance resource for Mobis Parts Canada Corporation (MPCA). Reporting to the Head of Department, Senior Manager, Process Improvement & Compliance, this position provides legal guidance and compliance support across commercial, corporate, governance, employment, regulatory, insurance, and risk management matters.

The role works closely with management and business stakeholders to identify and mitigate legal and compliance risks while ensuring that the organization operates in accordance with applicable laws, regulations, and corporate policies. The successful candidate will provide practical business-focused legal advice, manage external legal counsel where necessary, and support the company's governance and compliance initiatives.

This position is intended for an experienced legal professional capable of operating independently with minimal supervision while serving as a trusted advisor to management.

KEY DUTIES & RESPONSIBILITIES:
Legal Advisory Services:
  • Provide legal advice and guidance to management and various business departments.
  • Interpret and advise on applicable laws, regulations, and legal requirements affecting the organization.
  • Identify legal risks and recommend practical solutions that support business objectives.
  • Conduct legal research and prepare legal opinions, memoranda, and risk assessments.
  • Support strategic business initiatives and special projects requiring legal review.
Contract Review and Management:
  • Draft, review, negotiate, and interpret commercial agreements, including:
    • Vendor and supplier agreements.
    • Service agreements.
    • Transportation and logistics contracts.
    • Warehousing and facility-related agreements.
    • Non-disclosure agreements.
    • Software and technology agreements.
    • Consulting and professional services agreements.
  • Review contractual liability, indemnification, limitation of liability, insurance, and risk transfer provisions.
  • Maintain contract templates and support contract management processes.
Compliance and Regulatory Affairs:
  • Monitor changes in legislation and regulatory requirements affecting the organization.
  • Develop, maintain, and enforce corporate compliance programs and policies.
  • Support regulatory filings and reporting requirements.
  • Conduct compliance reviews and assessments.
  • Coordinate internal investigations related to compliance, ethics, or regulatory matters.
  • Provide compliance training and awareness programs for employees.
Corporate Governance:
  • Support corporate governance activities and maintenance of corporate records.
  • Assist with corporate secretarial matters and regulatory filings.
  • Support Board and shareholder-related governance activities.
  • Maintain governance policies and documentation.
Employment and Human Resources Support:
  • Provide legal guidance on employment-related matters.
  • Review employment agreements and workplace policies in partnership with Human Resources.
  • Advise on workplace investigations, employee relations, accommodations, and legislative compliance in partnership with Human Resources and management.
  • Coordinate with external employment counsel when specialized advice is required.
Risk Management and Insurance:
  • Review insurance policies and contractual insurance requirements.
  • Advise management regarding legal and operational risks.
  • Support claim management and dispute resolution activities.
  • Coordinate with insurance brokers, adjusters, and external legal counsel as required.
External Counsel Management:
  • Select, engage, and manage external legal counsel when specialized expertise is required.
  • Review legal strategies, fee proposals, and legal opinions provided by external counsel.
  • Ensure cost-effective legal support and efficient use of external resources.

QUALIFICATIONS:
Education:
  • Juris Doctor (JD) or Bachelor of Laws (LL.B.) degree from an accredited institution.
  • Licensed and in good standing with the Law Society of Ontario.
Professional Experience:
  • Minimum 10 years of legal experience in private practice, in-house counsel, or a combination of both.
  • Experience advising management on corporate, commercial, regulatory, and compliance matters.
  • Experience reviewing and negotiating commercial contracts.
  • Experience working independently as a primary legal advisor or sole legal resource is preferred.
